Terms & Conditions Version: 2 1. Introduction These Terms & Conditions ("Terms") govern access to and use of Amplest Unified Messaging (the "Service"). By creating an account, funding your wallet, submitting sender details, uploading contacts, or sending messages through the Service, you agree to these Terms. 2. Acceptable Use You agree not to: - Send spam, scam, illegal, abusive, misleading, or unauthorized messages. - Contact recipients without proper consent. - Upload, process, or use data in a way that violates privacy or data protection laws. - Misrepresent sender identity, organization identity, sender email, sender ID, or domain ownership. - Attempt to bypass domain verification, sender approval, compliance checks, billing checks, or platform security. - Disrupt, overload, abuse, reverse engineer, or interfere with the Service or its infrastructure. 3. Messaging Compliance You are responsible for ensuring that every recipient you contact has given valid permission to receive your messages. Email sending requires verified sending domains and approved sender details where required. SMS sender IDs, email senders, domains, and other sending identities may require verification or approval before use. WhatsApp Business features may require separate activation, approval, or subscription. We may reject, pause, review, or block messages that appear suspicious, non-compliant, or likely to harm platform reputation or recipient trust. 4. Contacts, Unsubscribes & Suppression You are responsible for the contacts you upload or import. You must respect unsubscribe requests, opt-outs, blacklists, and suppression lists. When a recipient unsubscribes or is suppressed, the platform may prevent further messages to that recipient through the affected channel. 5. Wallet Credits, Billing & Payments Wallet credits are used to pay for eligible messaging activity, subscriptions, and other platform charges according to the pricing shown in the platform. The minimum wallet recharge amount, VAT, message prices, subscription prices, bonuses, and promotional offers may be changed by the platform admin from time to time. Main wallet credits are for platform usage only and are not withdrawable as cash. Once wallet credits are used for messages, subscriptions, or services, they are generally non-refundable. Failed deliveries may be refunded only where supported by provider responses, platform logs, and internal review. 6. Bonus Wallet, Promotions & Referrals The platform may offer bonus wallet credits from promotions, recharge bonuses, referrals, or other reward programs. Bonus wallet credits may be used for eligible platform sending, subject to platform rules. Bonus credits are separate from main wallet credits. Referral bonuses may be awarded when a new customer signs up using a referral code and completes their first successful wallet recharge. Referral rates and bonus rules may change at any time. Bonus wallet credits may be eligible for withdrawal only through a separate bonus withdrawal request process, if enabled and approved by the platform. Main wallet credits cannot be withdrawn. Bonus withdrawal requests are subject to review, fraud checks, compliance checks, and approval. The platform may approve, reject, delay, or cancel bonus withdrawal requests where necessary. 7. Taxes & Charges VAT or other applicable charges may be included in wallet recharges, subscriptions, or service fees. Where VAT applies, the credited wallet amount may be less than the total amount paid. 8. Sender Domains, Sender IDs & Provider Verification You may be required to add DNS records, verify domains, submit sender details, or complete approval steps before sending. You are responsible for ensuring that domain records, sender names, sender emails, and sender IDs are accurate and authorized. If your DNS provider, mail provider, telecom provider, or third-party service delays or rejects verification, message sending may be delayed or unavailable. 9. Reports, Tracking & Delivery The platform may track delivery status, opens, clicks, unsubscribes, failures, bounces, complaints, and related engagement events where supported by providers and recipient email clients. Some tracking data, including opens, may be approximate because email clients, privacy tools, spam filters, and security scanners can block, delay, or trigger tracking events. 10. Data & Privacy We process account data, contact data, message content, message metadata, payment records, delivery records, and engagement data to provide the Service. You remain responsible for the legality, accuracy, and consent basis of all data you upload or send through the Service. We do not sell customer data. We may share necessary data with messaging providers, payment processors, infrastructure providers, and compliance tools only as needed to operate the Service. 11. Account Security You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you create team members, you are responsible for managing their access and permissions. 12. Service Availability We aim to provide reliable service, but interruptions, delays, provider outages, DNS delays, maintenance, network issues, or third-party failures may occur. We are not liable for indirect, incidental, consequential, or business losses caused by downtime, failed delivery, provider rejection, delayed processing, or unavailable third-party services. 13. Suspension & Termination We may suspend, restrict, or terminate accounts that violate these Terms, fail compliance checks, abuse the platform, submit false information, send harmful content, or create risk for the Service, providers, recipients, or other customers. Wallet usage, sender approvals, campaigns, and access may be paused during review. 14. Changes to Terms We may update these Terms from time to time. The latest version will be displayed on the platform. Continued use of the Service after updates means you accept the updated Terms. 15.
